
Modine Manufacturing (NYSE:MOD) shareholders elected three directors, approved an advisory vote on executive compensation and ratified KPMG as the company’s independent registered public accounting firm at the company’s 2026 annual meeting.
The virtual meeting was chaired by Marsha C. Williams, chairperson of Modine’s board. Isioma Nwabuzor, associate general counsel and assistant corporate secretary, served as host, while Erin J. Roth, the company’s vice president, general counsel and chief compliance officer, served as secretary for the meeting.
Roth said Modine had 53,179,179 shares of common stock outstanding and entitled to vote. Shares represented at the meeting, in person or by proxy, accounted for 90% of total outstanding voting shares, establishing a quorum.
Directors Elected Through 2029
Ashleman, Lowe and Williams each received a majority of the votes cast and were elected to the board for terms expiring in 2029, according to the inspectors of election’s tally.
Williams said no other director nominations had been submitted to the company in accordance with its bylaws.
The board also recognized William A. Wulfsohn, who retired from the board at the conclusion of the meeting and did not stand for re-election. Williams said Wulfsohn had served on both the audit committee and technology committee and had provided strategic guidance and oversight during the company’s growth and transformation efforts.
“His business acumen and commitment to Modine have been instrumental in our growth and ongoing strategic transformation,” Williams said.
Shareholders Back Executive Pay and Auditor
The advisory proposal on compensation for Modine’s named executive officers received support from 97% of votes cast on the item. The vote is advisory in nature.
Shareholders also ratified KPMG as Modine’s independent registered public accounting firm, with 99% of votes cast in favor. Representatives from KPMG, Darryl Goldstein and Leif Bergquist, attended the meeting.
- Eric D. Ashleman, Alan S. Lowe and Marsha C. Williams were elected as directors through 2029.
- Named executive officer compensation received 97% support among votes cast.
- KPMG’s appointment as independent auditor received 99% support among votes cast.
- Approximately 90% of Modine’s outstanding voting shares were represented at the meeting.
No shareholder questions pertinent to the agenda were received, Nwabuzor said. No other business was properly brought before the meeting, and Williams adjourned the session after the voting results were announced.
