
Intelligent Protection Management (NASDAQ:IPM) held its 2026 annual meeting of stockholders virtually, with Chief Executive Officer Jason Katz presiding as chairman. The meeting was recorded and stockholders were able to submit questions and vote online or by proxy.
Meeting formalities and quorum
Katz said the annual meeting was held pursuant to a notice mailed “on or about April 15th, 2026,” to stockholders of record as of March 27, 2026. He noted that, as required by law, a certified list of stockholders as of the record date had been available for inspection for the 10 days prior to the meeting.
Board and advisers introduced
Katz introduced members of the board of directors and management participating in the meeting: Kara Jenny (Chief Financial Officer), Yoram Abada, Lance Laifer, Sidney Rabsatt, John Silberstein, and Barry Sloane. He also introduced Rachel O’Donnell and Michael Haden of Haynes and Boone, LLP, as corporate counsel.
Items of business
Katz outlined two proposals presented to stockholders, noting that additional detail was available in the company’s proxy statement.
- Proposal 1: Director election. Stockholders were asked to elect seven directors to serve until the 2027 annual meeting and until successors are elected and qualified. The nominees were Jason Katz, Yoram Rami Abada, Kara Jenny, Lance Laifer, Sidney Rabsatt, John Silberstein, and Barry Sloane.
- Proposal 2: Auditor ratification. Stockholders were asked to ratify the appointment of Grassi & Co., CPAs, P.C. as the company’s independent registered public accounting firm for the fiscal year ending Dec. 31, 2026.
After “careful consideration,” Katz said the board determined that each proposal was in the best interest of the company and its stockholders and recommended votes in favor of the director nominees and the auditor ratification proposal.
Voting process and preliminary results
Voting was conducted through online ballots and proxies. Katz instructed stockholders who had not voted, or who wished to change a vote, to use the “Vote My Shares” tab during the meeting window before the polls closed. He said questions would be addressed only if they were pertinent to the business of the meeting.
After closing the voting segment, Katz reported preliminary voting results. He stated that each director nominee received a plurality of the votes cast and was duly elected. Katz also said the auditor ratification proposal received an affirmative vote of a majority of the votes cast and was approved by stockholders. A final detailed vote count was expected to be provided to the company shortly after the meeting, he said.

With no further business, Katz adjourned the annual meeting and thanked participants for attending.
