YPF (NYSE: YPF) director lifts stake 25% in a buy, then sells a smaller block

What happened

Director Guillermo Alberto Francos bought 6,930 American Depositary Shares of YPF Sociedad Anonima (NYSE: YPF) at $51.42 each on July 26. The purchase was worth about $356,000. By OptimistFi's calculation, it added 25.0% to the 27,700 shares he held before.

Francos then sold 2,770 shares at $55.76 on Sept. 14, 50 days after the purchase. That left him with 31,860 shares held directly. The purchase had lifted his holding to 34,630 shares, so the sale took it back down.

Francos filed alone as a director and signed the Form 4 on Nov. 3. Both trades were in American Depositary Shares, and the filing lists both as direct ownership.

Why it matters

The two trades point in opposite directions, so OptimistFi reads the filing as mixed for the investment case. By OptimistFi's calculation, the sale was 40.0% of the shares bought. The price was $4.34 a share, or 8.4%, above the purchase price.

A director's purchase puts personal money behind the stock. A later sale reduces that commitment but does not reverse it. Francos still holds more shares than before the July purchase, so his stake rose on net.

OptimistFi has argued that YPF can create value if oil growth and freer energy pricing turn into lasting dollar cash flow. In that view, minority holders still carry Argentina policy, currency, financing and state-control risk.

The purchase adds to Francos' exposure to that bet and the sale trims it. Neither trade measures those drivers. One filing of personal trades does not show how YPF is performing, and the sale partly offsets the purchase.

What's next

YPF's next quarterly report is the next scheduled test of the case. It will show whether operating results or capital allocation have changed since the July purchase and the September sale.

Stronger dollar cash flow or lower financing needs would support OptimistFi's view. Weaker cash flow or heavier borrowing would count against it.
