Why it matters

OptimistFi's case is that Workday needs durable growth and margin expansion to support its enterprise AI role. This filing adds fixed-rate debt and leaves the notes senior unsecured, ranking equally with other unsecured and unsubordinated debt. Workday expects about $2.47 billion in net proceeds, so about $1.47 billion remains after the planned $1.0 billion retirement.

That remaining cash would go to general corporate purposes, but the filing is still a financing event, not an operating update. The financing extends maturities across 2029, 2031, 2033 and 2036, but it does not by itself change revenue or margins. A change of control would require an offer to buy the notes at 101% of principal plus accrued interest.

What's next

Workday intends to redeem, repay, repurchase or otherwise retire the $1.0 billion of 3.500% notes due April 1, 2027 at or before maturity. Interest on the new notes starts on October 23, 2026 and is payable semi-annually on April 23 and October 23, beginning April 23, 2027.

The next dated check is April 23, 2027, when the first interest payments fall due. If Workday completes the planned retirement before then, the refinancing will match the stated use of proceeds. If the retirement slips past April 1, 2027, the planned use of proceeds will not be fully executed.
