What happened
Synopsys, Inc. (NASDAQ: SNPS) said Oct. 5, 2026 that it entered an accelerated share repurchase to buy back $1 billion of stock. JPMorgan Chase Bank, National Association is the counterparty to the agreement. Under the terms, Synopsys expects an initial delivery of approximately 1,735,000 shares. The company said the deal is an ASR.
Any remainder, if any, is to be settled on or before January 5, 2027, after the repurchases are completed. The final share count will depend on Synopsys daily volume-weighted average share prices during the repurchase period, less a discount. The 8-K repeats the news on the same date.
Key numbers
| Metric | Latest | Change | Source |
|---|---|---|---|
| Repurchase authorization | $1 billion | SEC Exhibit 99.1 press release | |
| Initial share delivery | approximately 1,735,000 shares | SEC Exhibit 99.1 press release | |
| Settlement deadline | January 5, 2027 | SEC Exhibit 99.1 press release |
Why it matters
OptimistFi's case is that Synopsys turns high-margin, sticky EDA and silicon-IP software into recurring cash flow. The ASR adds a direct capital-return use for that cash. The headline authorization is $1 billion, and the initial delivery shows the company plans to retire stock before final settlement. That makes the release useful as a capital-allocation marker.
It confirms management has chosen a buyback as the stated use of cash in this filing. The strongest caveat is in the terms, because the repurchased share count still moves with the stock price. The press release also makes clear the final share count is not locked, because the repurchase price floats during the period. That structure lets the company start the buyback now and settle the rest later.

What's next
The only dated follow-up in the release is that any remainder is due on or before January 5, 2027. That settlement will show how many shares Synopsys ultimately retires under the $1 billion program. A smaller remainder would mean more of the authorization was completed, while a larger remainder would leave more of the repurchase unsettled.
If the settlement leaves only a small remainder, Synopsys will have retired more of the announced program by January 5, 2027. The release ties that final step to a specific calendar date.
