Why it matters

OptimistFi's case is that Live Nation works if its scale keeps artists, venues, fans, ticketing partners and sponsors inside one monetization system long enough to turn that scale into cash per share.

This filing helps that case by lowering the swap-adjusted weighted average rate to about 5.89% per annum from 6.500% per annum on the notes it plans to redeem.

It also pushes the revolving credit facilities and the delayed draw term loan A facility out to October 21, 2031.

The caveat is that the new notes are senior unsecured and effectively subordinated to secured indebtedness. The filing also keeps redemption, change-of-control and covenant limits in place.

What's next

The new notes mature on October 15, 2032, and the next stated interest payment dates begin on April 15, 2027.

Before April 15, 2029, Live Nation may redeem up to 40% of the original principal amount of either note tranche with certain equity offering proceeds.

If there is a change of control, the company must offer to repurchase the notes at 101% of principal plus accrued interest.

After April 15, 2029, Live Nation may redeem some or all of the notes at the prices set in the indenture.
