What happened
Lifezone Metals Limited (NYSE: LZM) has cut the maximum it can pay BHP for the Kabanga Nickel Project to $75 million from $83 million. An independent expert found the project's RAP in material alignment with IFC PS5 objectives for the 12 months from July 18, 2025 to July 18, 2026. That triggered the automatic $8 million reduction.
The expert's Determination Report confirmed the alignment on Sept. 18, and Lifezone announced the reduction on Oct. 7. The detail appears in the company's interim report for the three and nine months ended Sept. 30, dated Oct. 29.
The same report says Lifezone must raise additional capital by February 2027 and that its conditions raise doubt about its ability to continue as a going concern.

How the BHP payments work
The cap limits a deal Lifezone signed on July 18, 2025, to buy BHP's 17% stake in Kabanga Nickel Limited. Lifezone now owns 100% of that subsidiary, and the agreements with BHP, including the T2 option agreement, were terminated.
The consideration has two parts. A fixed $10 million is due within 30 days after the earlier of 12 months after a final investment decision (FID) at Kabanga or Lifezone raising $250 million in aggregate funding.
A second, deferred payment is due within 30 days after the 12 months following first commercial production. It is indexed to Lifezone's share price, with a reference price of $4.16 and a reference amount of $28 million.
The lower figure is a ceiling on total consideration, not an amount owed today. The filing also defines a separate Milestone as the earlier of an FID that includes that same level of aggregate funding and a sale of the Kabanga project.

Nine-month results
Revenue for the nine months ended Sept. 30 rose to $1.93 million from $479,491 a year earlier, and gross profit rose to $0.67 million from $0.21 million. The loss for the period still widened to $13.66 million from $10.94 million.
General and administrative expenses climbed to $16.35 million from $12.51 million, and the operating loss grew to $15.04 million from $11.72 million.
Fair value items also moved the result. A $5.49 million gain on deferred consideration replaced a $3.69 million loss a year earlier, and a gain on embedded derivatives fell to $1.87 million from $11.25 million. These are remeasurements, not operating improvement.
Where the cash came from
Cash and cash equivalents stood at $22.2 million on Sept. 30, up from $20.1 million on Dec. 31, 2025. The increase came from financing. Lifezone closed a registered direct offering on April 23 of 5,700,000 shares at $4.40 each, with net proceeds of $23.3 million, and drew $21.7 million on its senior secured bridge loan facility.
Operations used $7.87 million of cash. Spending on exploration and evaluation assets was $24.76 million, up from $13.99 million in the same period of 2025.
Why it matters
OptimistFi has argued that Lifezone's equity value depends on turning its assets into producing, cash-generative mines, or selling them at a premium, before cash runs out or dilution erodes shareholder value. The lower BHP cap trims one future claim on Kabanga, but the funding disclosures say the clock is running.
The filing reports net current liabilities of $32.14 million. Of the cash on hand, $5.93 million sits in Kabanga Nickel Limited and its subsidiaries and may be used only for the Kabanga project. The bridge loan also requires a minimum cash balance of $5 million.
The facility has $41.7 million drawn. A further $18.3 million remains undrawn and depends on conditions that include signing an amendment to the Framework Agreement. The company expects an FID to require equity, including a farm-down at the project level, and debt. It warns shareholders could face dilution if it issues more equity.
What's next
The bridge facility is available for drawdowns until Nov. 29, 2026, after Taurus agreed to a three-month extension. Its scheduled maturity is July 31, 2027, with an option to extend by six months.
The company expects its board to make the Kabanga FID in the first quarter of 2027. The filing says that date could move forward or slip, depending on lenders' due diligence and financing negotiations.
A financed FID before the February 2027 funding need would support the case. A delay, or a raise that leans on new shares, would strengthen the dilution risk. The company also says its U.S. recycling project with Glencore targets an FID in the same quarter.
