
LENSAR (NASDAQ:LNSR) shareholders elected three Class III directors, ratified the appointment of PricewaterhouseCoopers LLP as the company’s independent auditor and approved advisory proposals on executive compensation during the company’s 2026 annual meeting.
The virtual meeting, held Aug. 4, was chaired by Board Chair Dr. William Link, who thanked shareholders for their participation and continued support. Chief Executive Officer Nick Curtis formally called the meeting to order and introduced the directors and company representatives in attendance.
Shareholder Voting Results
Paul Ramirez of American Election Services LLC, who served as inspector of election, reported that a quorum was present. As of the June 10, 2026, record date, LENSAR had 12,281,581 common shares and 20,000 Series A preferred shares outstanding.
Common and preferred shareholders voted together as one class on each proposal. The company reported 20,222,027 aggregate votes were eligible, including 12,281,581 votes held by common shareholders and 7,940,446 votes held by preferred shareholders.
Proxies representing 18,306,009 votes, or 90.52% of total voting power, were received for the meeting.
- Thomas B. Ellis, Richard L. Lindstrom and William J. Link were elected as Class III directors.
- Shareholders ratified the Audit Committee’s appointment of PricewaterhouseCoopers LLP as LENSAR’s independent registered public accounting firm for the fiscal year ending Dec. 31, 2026.
- Shareholders approved, on an advisory and non-binding basis, the compensation of the company’s named executive officers.
- Shareholders approved holding future advisory, non-binding votes on named executive officer compensation every year.
Board and Meeting Details
Curtis identified Elizabeth O’Farrell as chair of the Audit Committee, Lindstrom as chair of the Compensation Committee and Gary Winer as chair of the Nominating and Corporate Governance Committee. Other directors introduced were Aimee Weisner, Ellis and Todd Hammer.
Yvonne Lujan, a partner with PricewaterhouseCoopers, attended the meeting as a representative of the company’s independent registered public accounting firm. Mike Rossi, LENSAR’s interim chief financial officer, served as secretary of the meeting.
No stockholder questions concerning the proposals were submitted during the formal meeting, according to Curtis.
Rossi said the company will include the final vote count in the meeting minutes and will publish the full voting tally in a Current Report on Form 8-K to be filed with the Securities and Exchange Commission within four business days of the meeting.
