Lakefront (NASDAQ: LKFT) completes CAR-T program sale for up to $230 million

What happened

Lakefront Biotherapeutics NV (NASDAQ: LKFT) said it completed the sale of its early-stage cell therapy pipeline to Armed Cell Therapeutics BV.

The agreement includes $8 million upfront, up to $230 million in milestone payments and a low-single-digit royalty to Lakefront.

Armed Cell Therapeutics is a Belgium-based biotechnology company developing next-generation armed CAR-T therapies for cancer, and it was formed by Paul Stoffels, John Mellors and Peter Verhaeghe.

Lakefront said the transferred preclinical assets comprise multi-targeting and armed CAR-T constructs designed to improve potency and persistence and help prevent resistance in hematological and solid tumors of high unmet need.

The preclinical program is based on technology originated from, and research undertaken by, AboundBio, which Lakefront NV acquired in 2022. Lakefront said shareholders may benefit from future progress by the experienced team at Armed Cell Therapeutics.

Lakefront previously announced its intention to wind down its cell therapy activities following a comprehensive review of strategic alternatives, and it said that process is substantially complete.

Why it matters

The sale turns a legacy program into cash now and contingent economics later. At about 3.48% of the milestone cap, the upfront payment is small relative to the potential earnout.

OptimistFi's case is that Lakefront needs durable commercialization or partner economics, not a one-time windfall. This filing is mixed because it converts a preclinical asset into immediate proceeds while leaving Lakefront tied to future development through milestones and royalties.

The royalty gives Lakefront a continuing tie to the programs, but the filing describes that royalty only as low-single-digit. The counterweight is that the programs are preclinical, so the agreement is a bet on work that Armed Cell Therapeutics has to carry forward.

Lakefront also said its previously announced wind-down of cell therapy activities is substantially complete. That leaves the company with a clearer boundary between the legacy pipeline it sold and the assets it still plans to advance.

What's next

Armed Cell Therapeutics will independently advance these programs.

If the programs progress, Lakefront could receive part of the up to $230 million in milestone payments and the low-single-digit royalty.

Future milestone payments or royalties would show whether the transaction becomes more than a one-time sale of preclinical assets.
