Knightscope Stockholders Approve Board, Auditor and 10M-Share Equity Plan Expansion

Knightscope (NASDAQ:KSCP) stockholders approved all three proposals presented at the company’s 2026 Annual Meeting of Stockholders, including the re-election of four directors, the appointment of its independent auditor and an increase in shares available under its equity incentive plan.

The virtual meeting was chaired by Founder, Chairman, Chief Executive Officer and President William Santana Li. Apoorv Dwivedi, Knightscope’s executive vice president, chief financial officer and secretary, conducted the formal business portion of the meeting.

Board Members Re-Elected

Stockholders approved the re-election of William Santana Li, William G. Billings, Robert A. Mocny and Melvin W. Torrie to Knightscope’s board of directors. The directors will serve until the company’s 2027 annual meeting of stockholders and until their respective successors are elected and qualified.

Dwivedi also introduced Jeff Dietrich, a partner at BPM LLP, Knightscope’s independent auditor, and Chris Perkins of Computershare Trust Company, who served as inspector of election for the meeting.

Auditor Appointment Ratified

Stockholders ratified the appointment of BPM LLP as Knightscope’s independent registered public accounting firm for the fiscal year ending Dec. 31, 2026.

According to Dwivedi, Dietrich would be available to respond to appropriate questions through follow-up emails.

Equity Plan Expansion Approved

Stockholders also approved the second amendment to Knightscope’s 2022 Equity Incentive Plan. The amendment increases the number of Class A common shares available for issuance under the plan by 10 million shares.

The board had recommended that stockholders vote in favor of each director nominee and each of the two other proposals.

Quorum and Vote Reporting

Dwivedi said that, as of the July 15, 2026 record date, Knightscope had 19,856,782 Class A common shares and 290,095 Class B common shares issued and outstanding. Those shares were eligible to cast a combined 22,757,732 votes.

A quorum required the presence, in person or by proxy, of holders representing at least one-third of the votes eligible to be cast. Perkins informed the company that more than one-third of eligible votes were represented at the meeting online or by proxy, Dwivedi said.

The company said the results announced during the meeting were based on the inspector of election’s preliminary report. Knightscope plans to retain the final report with its annual-meeting records and publish the final vote tally within four business days in a Current Report on Form 8-K filed with the Securities and Exchange Commission.
