Axon (NASDAQ: AXON) lines up $1.2 billion Skydio stake and distribution rights

What happened

Axon Enterprise, Inc. (NASDAQ: AXON) said it will make an additional $1.2 billion investment in Skydio. The move expands Axon's Drone as First Responder program and makes Axon Skydio's exclusive distributor for public safety in the U.S. and Canada.

The agreement would add approximately 20% to Axon's fully diluted ownership in Skydio at a $5.2 billion pre-money valuation. A separate purchase agreement says Axon will buy 25,000,000 Series G preferred shares at $10.19617 each. It says half of the purchase price will be paid in cash and half in Axon stock, subject to final transaction terms.

Why it matters

The investment includes primary capital to Skydio and shares from existing Skydio shareholders. The agreement says the cash consideration will go to working capital and general corporate purposes at Skydio. The release says part of the cash consideration will go to growth capital to accelerate innovation, expand Skydio's product portfolio and bring new drone capabilities to customers faster.

For Axon holders, the filing ties more of the company to drones inside public safety, the same customer base that already uses its devices and cameras. It also gives Axon a bigger role in how agencies buy and deploy Skydio drones.

The release says Skydio serves more than 1,500 public safety customers, and more than 28 million Americans now live within two miles of a Skydio DFR dock. At agencies deploying the system, priority response times have been reduced by as much as 65%, with drones arriving before officers on roughly 80% of calls where they are deployed.

Axon also estimates the U.S. and Canada DFR market at about $13 billion, and Skydio expects approximately $1 billion in total bookings in its current fiscal year.

What's next

The transactions are expected to close in the fourth quarter of 2026 and first quarter of 2027. A completed close on those terms would turn the announcement into a finished strategic investment, while a delay would leave the expansion uncompleted.
