Vivmark (NYSE: VMRK) trims merger costs and lifts synergy target to $135 million

What happened

Vivmark Residential (NYSE: VMRK) cut its expected merger-related cost bill to about $725 million and raised annual net run-rate operating synergies to $135 million.

The new cost estimate is $25 million below the company's initial $750 million estimate. Vivmark still expects to reach the full synergy run rate by March 2028.

It put those updates in a Nov. 4 release on results for the three and nine months ended Sept. 30, 2026, along with fourth-quarter and full-year guidance.

That matters because the filing gives a cleaner view of the merger payback while reported earnings still carry large one-time charges.

Why it matters

OptimistFi's comparison shows merged same-store revenue rose to $1.47 billion from $1.44 billion a year earlier, while NOI climbed to $976.5 million from $960.0 million.

That supports the view that Vivmark can keep turning renter demand into higher lease income.

The offset is $544.0 million of merger-related costs in Core FFO adjustments, which pushed diluted EPS to $(1.27).

The company also said Q3 EPS and FFO per share included $0.92 per share of merger-related costs excluded from Core FFO.

Merger charges and balance sheet

Vivmark also recorded an approximate $516 million fair value discount on existing EQR debt in connection with the merger.

On Aug. 18, S&P Global Ratings raised the company's long-term issuer credit rating to A with a stable outlook from A-.

After quarter-end, Vivmark repaid $300.0 million of 2.90% coupon unsecured notes and $500.0 million of 2.85% coupon unsecured notes at par when they matured.

At Sept. 30, the company reported $17.0 billion of total debt and $4.0 billion of available liquidity.

As of quarter-end, development activity represented $3.8 billion of total capital cost and a weighted average projected NOI of 6.2%.

What's next

For the fourth quarter, Vivmark guided to diluted EPS from a loss of $0.95 to a loss of $0.91.

It also guided to FFO per share of $0.92 to $0.96 and Core FFO per share of $1.01 to $1.05.

For full-year 2026, the company guided revenue growth of 2.0% to 2.4%, expense growth of 4.1% to 4.7%, and NOI growth of 0.8% to 1.4%.

The filing says merger-related property-tax assessments will add about $16 million of operating expenses in full-year 2026, with an estimated annual impact of $50 million beginning in 2027.

The Nov. 5 conference call at 1:00 PM ET is the next scheduled test, and a guide near the midpoint would support the case.
