What happened
Versigent PLC (NYSE: VGNT) reported third-quarter adjusted EBITDA up 10.9% from a year earlier, even as net income attributable to Versigent declined.
Net income fell to $102 million from $109 million. The release blames higher interest expense from the company's first-quarter 2026 debt financing, partly offset by lower income tax expense. Net sales rose 7.2% to $2.45 billion.
Diluted earnings per share were $1.41, against $1.54 a year earlier. Adjusted diluted EPS was $1.91, up from $1.81. The board declared a quarterly dividend of $0.13 per ordinary share and raised the midpoints of full-year net sales and free cash flow guidance.

Where the sales and margin gains came from
Commodity movements explain most of the reported sales gain. Adjusted net sales growth, which excludes commodity and currency effects, was about 1%. The release's reconciliation takes 5 percentage points off reported growth of 7% for commodities and 1 point for currency. Management said the adjusted gain came despite lower global automotive production.
Profitability improved more cleanly. Adjusted EBITDA margin reached 11.2%, up 40 basis points from 10.8% a year earlier. The release credits operational execution during many program launches, plus favorable net pricing and currency, partly offset by higher commodity costs.

Why profit and cash flow lagged
New debt is the named drag on profit. Interest expense was $36 million in the quarter, against a de minimis amount a year earlier, because of the senior notes and credit facility issued in the first quarter of 2026. Income tax expense fell to $35 million from $54 million. The prior-year quarter carried higher net discrete tax expenses, mainly valuation allowance adjustments.
Free cash flow was $170 million, down from $179 million. Capital expenditures rose to $55 million from $44 million, which the release links to higher launch activity in the second half of 2026. Operating cash flow was $225 million, up slightly.
What the new guidance implies for the fourth quarter
Management tightened all three full-year ranges. Net sales guidance is now $9.5 billion to $9.6 billion, from $9.4 billion to $9.6 billion. The release attributes the higher midpoint to commodity pass-throughs. Adjusted EBITDA guidance is $970 million to $1.01 billion, from $950 million to $1.03 billion. Free cash flow guidance is $275 million to $325 million, from $200 million to $300 million.
OptimistFi's arithmetic shows the ranges leave room for a softer final quarter. With $750 million of adjusted EBITDA through nine months, the guidance implies $220 million to $260 million in the fourth quarter, below the third quarter's level. With $247 million of free cash flow through nine months, it implies $28 million to $78 million, far below the third quarter's.
Why it matters
OptimistFi has argued that Versigent's value depends on turning a large book equity position into durable, above-market returns through high-margin OEM contracts or accretive M&A. This quarter supports that case on operations but pulls against it on the balance sheet.
The margin gain and the $2.1 billion of bookings secured in the quarter are the operating evidence. The balance sheet is the problem. Total Versigent shareholders' equity was $154 million at Sept. 30, down from $1.66 billion at Dec. 31, 2025. Long-term debt rose to $2.07 billion from $3 million. The nine-month cash flow statement shows a $1.89 billion cash distribution to the former parent and $2.06 billion of net proceeds from senior notes and the credit agreement.
Cash and cash equivalents were $638 million, up from $276 million.
Adjusted measures also lean on add-backs. Adjusting items totaled $43 million in the quarter, including $22 million of restructuring and $11 million of separation costs. Net income and free cash flow were both lower than a year earlier, and the sales guidance depends on commodity pass-throughs.
What's next
Management hosts a webcast and conference call at 8 a.m. Eastern on Nov. 4 to discuss the quarter. The dividend is payable Dec. 17 to shareholders of record at the close of business Dec. 4. The board keeps discretion over future payments.
The next quarterly report will test the guidance. Adjusted EBITDA and free cash flow above the implied fourth-quarter ranges would strengthen the case. Results at or below the low ends, with net debt still elevated, would weaken it.
