Veralto (NYSE: VLTO) lifts adjusted EPS outlook, but GAAP operating profit slips

What happened

Veralto Corporation (NYSE: VLTO) raised its full-year 2026 adjusted earnings guidance to $4.49 to $4.52 per share, up from $4.35 to $4.43. The new range follows a quarter in which adjusted profit and cash flow rose while GAAP operating profit fell.

Sales for the quarter ended Oct. 2 rose 7.5% to $1.51 billion from $1.4 billion a year earlier, a gain of $105 million. Net earnings were $253 million, or $1.03 per diluted share, against $239 million, or $0.95. Adjusted net earnings were $290 million, or $1.18 per share, versus $247 million, or $0.99.

CEO Jennifer L. Honeycutt put the rise in adjusted earnings per share at 19.2%. Veralto also raised other full-year targets. Core sales growth is now expected at 4.2% to 4.5%, up from 4.0% to 4.5%. Adjusted operating margin should expand about 50 basis points, up from 25 to 50. Free cash flow should exceed 105% of GAAP net earnings, up from more than 100%. The adjusted EPS range implies 15% to 16% growth over the prior year.

Where the growth came from

Core sales, a non-GAAP measure that excludes currency and acquisitions, grew 5.1%. Acquisitions added 2.3% to total sales growth. Water Quality led, with core sales up 6.4% and total sales up 9.8%. Product Quality and Innovation (PQI) core sales rose 3.2% and total sales rose 3.9%.

Honeycutt said core sales of water treatment solutions grew double digits. She cited favorable industrial trends in North America, including digital infrastructure investment, higher industrial production and rising need for water reuse. Water analytics demand was steady across municipal, environmental and industrial customers.

In PQI, Honeycutt said core sales growth rose from the prior quarter on steady demand in marking and coding and faster growth in packaging and color.

The gap between GAAP and adjusted profit

GAAP operating profit fell to $298 million from $326 million. The operating margin was 19.7% against 23.2% a year earlier. Selling, general and administrative expenses rose to $541 million from $451 million. Adjusted operating profit was $386 million, a 25.6% margin versus 23.9%, a gain of 170 basis points.

Four adjustments explain the gap. Veralto excluded $17 million of acquisition-related amortization and $22 million of restructuring costs from its 2026 Cost Optimization Program. It also excluded strategic initiative costs and a $39 million reduction of a tax indemnification asset. That asset came from agreements made when Veralto separated from Danaher. The reduction followed the settlement of a tax audit covering periods before the separation.

Net earnings still rose because income taxes fell to $20 million from $67 million. GAAP net earnings include $38 million of discrete tax adjustments, which Veralto removes from adjusted earnings. They are tax items, not operating gains.

Cash, buybacks and acquisitions

Cash generation tracked the adjusted results. Operating cash flow was $323 million, up from $270 million. Free cash flow was $304 million, up 18.0% from $258 million. Over the last twelve months, free cash flow of $1.09 billion was 18.8% of sales of $5.8 billion.

Year to date, as of Oct. 28, Veralto spent $1.1 billion on four acquisitions: In-Situ, GlobalVision, Alfaa UV and Cleanwater1, which closed Oct. 5. It also repurchased $550 million of shares, or 2.4% of shares outstanding as of Feb. 13. Diluted shares averaged 245.3 million in the quarter against 250.6 million a year earlier.

The Cost Optimization Program is expected to save $10 million to $15 million in 2026.

Why it matters

OptimistFi has argued that Veralto is a quality compounder if its water-quality and product-identification franchises keep turning compliance, safety and traceability needs into high-margin revenue and cash. This quarter supports that view. Water Quality led growth, the adjusted margin widened and free cash flow rose faster than sales.

The caveats are concrete. GAAP operating profit declined, and the adjusted figures exclude amortization, restructuring, strategic initiative costs and the indemnification charge. Acquisitions also supplied part of the sales growth, so core growth is the cleaner read on demand.

What's next

Veralto holds its third-quarter earnings call on Oct. 30 at 7:30 a.m. ET, with a webcast on its investor website.

Management guided fourth-quarter core sales growth to 5.5% to 6.5%, adjusted operating margin to about 24.5% and adjusted earnings to $1.13 to $1.16 per share. Results inside those ranges for the quarter ending Dec. 31 would support the raised full-year outlook. A shortfall in core growth would weaken Veralto's expectation that growth speeds up.
