Ecolab (NYSE: ECL) organic sales growth accelerates to 7% but net income slips

What happened

Ecolab Inc. (NYSE: ECL) said organic sales growth accelerated to 7% in the third quarter, while reported diluted EPS fell to $1.95.

Acquisition costs explain much of the gap between the two EPS measures. Reported EPS was $2.05 a year earlier. Adjusted diluted EPS rose 5% to $2.18 from $2.07. Ecolab says that figure includes an approximate 10% headwind from CoolIT amortization and financing costs.

Reported net sales grew 13% to $4.69 billion from $4.17 billion in the third quarter of 2025. The Ovivo Electronics and CoolIT acquisitions account for the gap between reported and organic growth.

Where the growth came from

Pricing and volume both helped. Volume grew 2%, despite ongoing Middle East disruptions, and pricing grew 5%. Chief executive Christophe Beck said Ecolab used pricing to offset higher commodity costs.

Global High-Tech grew 63% organically and Life Sciences grew 17%. In Global Water, fixed-currency sales rose 20% to $2.48 billion. The Ovivo Electronics and CoolIT acquisitions added 11%, and organic growth added 9%. Ecolab Digital sales rose 34% to $129 million.

Institutional Specialty, a steadier business, grew 3% organically. Ecolab said strong pricing and new business wins offset a mid-single-digit decline in North American restaurant foot traffic. Life Sciences organic operating income rose 49%, helped in part by easy comparisons to last year's plant maintenance.

Margins and the cost of the deals

Organic operating income margin reached 19.6%, up 70 bps from a year earlier. Adjusted gross margin fell 70 bps because of acquisitions. Without that effect, Ecolab said organic gross margin was stable, as accelerating pricing offset rising commodity costs.

Financing the two deals shows up below the operating line. Reported net interest expense rose $70 million to $124.8 million. Reported net income attributable to Ecolab fell 6% to $551.3 million. Adjusted net income rose 4% to $615.4 million.

Corporate special gains and charges were a net charge of $83 million, mainly acquisition and integration costs, against $27 million a year earlier. Long-term debt stood at $11.92 billion on Sept. 30, up from $7.37 billion on Dec. 31, 2025.

Why it matters

OptimistFi has argued that Ecolab's strength is turning essential water and hygiene work into service revenue. In its view, that revenue grows profitably through pricing power and field-service scale. A quarter with 5% pricing and steady organic gross margin against rising commodity costs fits that argument.

The earnings picture is less clean. Reported net income and EPS both fell, and Ecolab ties the drag to CoolIT financing and amortization. The company puts the full-year headwind to adjusted EPS growth at approximately 6 percentage points. The case now depends on those acquisitions paying back through the growth the company projects for them.

What's next

Ecolab's next test is its fourth-quarter report. The company expects adjusted diluted EPS of $2.13 to $2.23, up 2% to 7% from $2.08 a year ago, with organic sales growth of 6% to 7%. It cites an approximate 12 percentage point CoolIT headwind to that range.

Ecolab also expects an adjusted operating income margin of approximately 19% in the fourth quarter and an organic operating income margin of approximately 20%. An EPS result at the low end of the range, or an organic margin below that mark, would weaken the argument that pricing is covering costs.

For 2027, Ecolab expects organic sales growth at the upper end of its 5% to 7% target and an adjusted operating income margin of 20%. It says that would give a clear path to meet or exceed its 12% to 15% long-term adjusted EPS growth target.
