Rubico (NASDAQ: RUBI) lifts NAV to $258 million and discloses share count

What happened

Rubico Inc. (NASDAQ: RUBI) said estimated net asset value rose to $258.0 million as of September 30, 2026. The company said that was a 41% increase from the previously reported NAV on July 16, 2026.

Rubico said the estimate reflects September 30, 2026 charter-free vessel values from two third-party international brokers, debt outstanding and cash. It said NAV was $20.49 per common share and $3.58 on a fully diluted basis.

Rubico also said it had issued and sold $3.1 million under the ATM since inception and that $0.4 million has been converted under the notes. The 6-K says the closing of the note financing on October 19, 2026 led to 1,295,179 common shares issued. After the financing and related conversion notices, Rubico said it had 12,587,957 common shares issued and outstanding.

Why it matters

OptimistFi's case is that Rubico's equity value depends on whether stable operating earnings can survive shipping-cycle, financing, and capital-structure pressure. The new NAV gives investors a fresh asset-value marker, and the share count update shows how the financing changed the equity base. Rubico says the $3.1 million sold under the ATM is about 1.2% of the reported NAV.

That is a small slice of the asset base, but the filing also shows the company is still issuing common shares through notes and ATM activity. The main warning is the company's own note that net proceeds from any vessel sale may be significantly lower than NAV. Rubico also says charter-adjusted vessel values and NAV would be lower under prevailing market time charter rates.

What's next

The next dated milestone in the filing is the second quarter of 2027 delivery of the 60-meter megayacht, which Rubico intends to divest. The company also lists three 47,499 dwt MR tanker newbuildings for delivery in the second, third and fourth quarters of 2029.

A sale that releases equity on favorable terms would support the NAV story. Lower proceeds would weaken it, because the company says sale proceeds may come in below NAV.
