RedCloud (NASDAQ: RCT) gets Nasdaq delisting notice after $1 bid-price miss

What happened

RedCloud Holdings plc (NASDAQ: RCT) said Nasdaq issued a delisting determination on October 13, 2026, after its shares missed the $1.00 bid price. RedCloud appealed on October 14, 2026. That appeal stays any suspension or delisting while the hearing is pending. Its ordinary shares continue to trade on the Nasdaq Capital Market under the symbol RCT.

The company said it will submit a compliance plan that includes a reverse stock split. Nasdaq said RedCloud is not eligible for a second 180-day period because it does not have the stockholders' equity needed for initial listing standards.

The board has scheduled a shareholder meeting for October 30, 2026, to seek approval for a share consolidation. If approved, it is expected to take effect on or about November 13, 2026.

Why it matters

OptimistFi's case is that RedCloud only creates equity value if its commerce network can restart adoption, turn scale into lower operating losses, and finance the gap without wiping out shareholders. This filing weakens that case because Nasdaq has already started the delisting process, and continued trading now depends on a stayed appeal and a panel decision.

The release also restates scale. It says more than $8.4 billion of FMCG transactions passed through its infrastructure between early 2023 and June 2026, across more than 100,000 customers and 6,700 brands. That scale may matter to investors, but the filing says there can be no assurance the appeal will succeed or that RedCloud will keep its Nasdaq Capital Market listing.

What's next

RedCloud will submit a written compliance plan to the Nasdaq Hearings Panel, including a commitment to a reverse stock split. Shareholders are scheduled to vote at the meeting on October 30, 2026.

If shareholders approve the share consolidation, the company expects it to be effective on or about November 13, 2026. A panel win and shareholder approval would support continued trading on the Nasdaq Capital Market. Failure at either step would leave the listing risk unresolved.
