
What happened
Quantum BioPharma Ltd. (NASDAQ: QNTM) said on Oct. 08, 2026 that a court consolidated two lawsuits over alleged share manipulation.
The U.S. District Court for the Southern District of New York combined the company's direct action and a class action led by an individual investor.
The release says the company's suit alleges that from Jan. 1, 2020, to Aug. 15, 2024, the defendants and their customers used spoofing to manipulate Quantum BioPharma shares.
It also says the class action, filed Dec. 11, 2025, claims shareholders who sold securities from Jan. 6, 2021, to Oct. 15, 2025, were significantly and materially harmed.
According to Grant Eisenhofer, the firm has recovered more than USD $30 billion for clients to date.
The release says these are among the most complex and often precedent-setting cases in disputes with the world's largest and richest opponents.

Why it matters
OptimistFi's case is that Quantum BioPharma needs cash runway and fundable milestones before dilution or distress takes the upside.
This filing is mixed because it is procedural, not a ruling on the merits.
The court said the consolidation and lead-counsel appointment do not decide liability, damages or any recovery at all.
The release also repeats a possible cash stream. Quantum says it owned 19.48% of Unbuzzd as of June 30, 2026.
It also says Quantum keeps 100% of the rights to develop similar products or alternative formulations for pharmaceutical and medical uses.
Under the agreement with Unbuzzd, Quantum gets 7% of sales until payments total $250 million, then 3% in perpetuity.

What's next
The next test is future steps in the consolidated case.
A ruling on the merits or a settlement would matter more than this procedural order.
Any move toward the $250 million royalty threshold would also change the Unbuzzd terms.
If the case produces no recovery, the filing's own caution says the order does not establish liability, damages or any recovery at all.
