CuriosityStream Shareholders Reject Incentive Plan Increase at Annual Meeting

CuriosityStream (NASDAQ:CURI) stockholders elected three directors, ratified the company’s auditor and approved executive compensation on an advisory basis at the company’s 2026 annual meeting, while rejecting a proposed increase to the share reserve under its equity incentive plan.

The virtual meeting was chaired by Clint Stinchcomb, CuriosityStream’s president and chief executive officer. Stinchcomb said the format allowed stockholders to exercise the same rights as they would at an in-person meeting. Tia Cudahy, the company’s chief operating officer and secretary, reported that a quorum was present.

Cudahy said Broadridge Financial Solutions had distributed the notice of the meeting and notice of internet availability of proxy materials beginning April 9, 2026, to stockholders of record as of March 27, 2026. She said there were 59,287,600 shares of common stock outstanding on the record date.

Directors Elected to Serve Through 2029

Stockholders elected Matthew Blank, Jonathan Huberman and Mike Nikzad as Class III directors to serve until the 2029 annual meeting of stockholders. Cudahy said the nominees received the highest number of votes, representing a plurality of votes cast by stockholders present or represented by proxy and entitled to vote.

Stinchcomb said the company had received no other director nominations under the procedures set out in its bylaws, and the board had unanimously recommended votes in favor of each nominee.

Incentive Plan Amendment Fails

The only proposal not approved was an amendment to the CuriosityStream Inc. 2020 Omnibus Incentive Plan. The proposal would have increased the number of shares subject to the plan from 10,725,000 to 11,725,000.

Cudahy said the amendment “has not been approved by the affirmative vote of a majority of the shares entitled to vote at a duly constituted meeting of the shareholders of the company.”

Following the announcement of results, Stinchcomb said the board had noted the stockholders’ vote on the proposal and “will review the results and consider next steps in due course.”

Auditor Ratified, Executive Pay Approved

Stockholders ratified the appointment of Grant Thornton LLP as CuriosityStream’s independent registered public accounting firm for the fiscal year ending Dec. 31, 2026. The appointment was made by the company’s Audit Committee, according to Stinchcomb.

Andrew Clements, a partner with Grant Thornton, participated in the meeting and was available to respond to stockholder questions on auditing and accounting matters. Stinchcomb said Clements worked on the review of the company’s financial statements for the quarter ended March 31, 2026.

Stockholders also approved, on an advisory basis, the compensation paid to the company’s named executive officers. In addition, stockholders selected one year as the preferred frequency for future advisory votes on executive compensation. The board had unanimously recommended an annual advisory vote.

No Stockholder Questions Submitted

The company opened the meeting for questions related to the proposals before voting and later for general questions concerning the company. Cudahy said no questions were submitted during either period.

Stinchcomb said the final official voting results will be filed with the Securities and Exchange Commission in a current report on Form 8-K within four business days of the meeting and will also be available on the company’s investor relations website.
